1. Introduction


1.1 Purpose:

This Membership Agreement (“Agreement”) is entered into between you (“Member”) and Skai Health FZE (“Skai Health”, “we”, “us”, or “our”) for the provision of subscription-based, personalised concierge primary care and wellness services focused on prevention, optimisation, and long-term wellbeing. Our model blends clinical excellence with lifestyle and performance support, empowering members to take a proactive role in their health journey. Skai’s membership services are designed to complement existing insurance plans and assist Members in navigating the broader healthcare system, including referrals for more complex medical conditions when appropriate.


1.2 Structure and Scope:

Primary care and clinical services under this Agreement will be delivered by Skai Health Dubai LLC, a licensed healthcare provider in Dubai or other Third-Party Providers. Administrative, membership, and billing services are provided by Skai Health FZE. Collectively, these entities are referred to as the ‘Skai Health Group’ throughout this Agreement.


1.3 Non-insurance Disclaimer:

This Agreement does not constitute a health insurance policy. Skai Health is not an insurer, and the services provided are not a substitute for comprehensive medical insurance coverage.


1.4 Acceptance:

By completing your membership registration and clicking “I Accept” during the sign-up process, you are entering into a legally binding agreement with Skai Health and agree to the terms herein, including any applicable policies or schedules referenced.


2. Definitions and interpretation


2.1 Definitions


2.1.1 Agreement: this Membership Agreement, including all referenced policies, Schedules or Addendums.


2.1.2 Data Protection Laws: means UAE Federal Decree-Law No. (45) of 2021 on the Protection of Personal Data.


2.1.3 DHA: the Dubai Health Authority, the government regulatory body responsible for healthcare services and licensing in the Emirate of Dubai.


2.1.4 Force Majeure Event refers to any event beyond the reasonable control of Skai Health that, in Skai Health’s sole and reasonable opinion of Skai Health, prevents or delays the performance of its obligations under this Agreement. Such events may include, but are not limited to, natural disasters, acts of government or regulatory authorities, pandemics, war, labour strikes, supply chain disruptions, technical failures, cyberattacks, and other unforeseeable and unavoidable circumstances.


2.1.5 Healthcare Optimisation: Non-clinical support provided by Skai Health to help Members improve their overall health status and longevity. This may include wellness navigation, care coordination, digital health insights, and assistance in using connected health platforms — but it excludes diagnosis, treatment, or the management of medical conditions.


2.1.6 Member / you / your: means the individual subscribing to Skai Health’s services.


2.1.7 Membership Activation Date: the date on which your Skai Health membership becomes effective, as confirmed during the sign-up process.


2.1.8 MOHAP: the Ministry of Health and Prevention of the United Arab Emirates, the federal authority overseeing public health policy and regulation across the UAE


2.1.9 Personal Data: means any information relating to an identified or identifiable natural person, whether directly or indirectly, including but not limited to name, contact details, identification numbers, electronic identifiers, location data, or any combination of data that can lead to the identification of a person.


2.1.10 Preventive Healthcare Services: Clinical services delivered by Skai Health Dubai LLC, with a focus on early detection, longevity planning, and performance optimisation. These services are not designed for comprehensive chronic disease management or emergency care.


2.1.11 Primary Care Support: Non-specialist, preventive health services designed to monitor wellbeing, coordinate routine diagnostics, and support Members in maintaining overall health. This includes general wellness assessments, lifestyle optimisation, early screening, and care navigation. It excludes specialist intervention, complex disease management, and acute/emergency treatment.


2.1.12 Privacy Policy: Skai Health’s policy on the handling of personal data, accessible at skai-health.com/static-pages/privacy-policy


2.1.13 Recurring Payment Authorisation: Your consent to automatic billing via an authorised third-party payment processor, as selected by Skai Health from time to time.


2.1.14 Sensitive Personal Data: a category of Personal Data that includes health or medical information, biometric data, genetic data, religious beliefs, criminal record, or any other data classified as sensitive under the Data Protection Laws. For the purposes of this Agreement, it specifically includes data collected during consultations, diagnostic testing, wellness assessments, and healthcare planning.


2.1.15 Services: the primary care, wellness, subscription, and administrative services provided under this Agreement as outlined in Schedule A: Membership Benefits. Clinical services are delivered by Skai Health Dubai LLC and other Third-Party Providers (as defined below), and membership and administration services are managed by Skai Health FZE. Services may also include integration with third-party digital health platforms and wearable or connectable devices (e.g., Apple Health, fitness trackers, or diagnostic kits), where such tools are used to support preventive care or personal wellness tracking. Data shared through these platforms may be classified as Personal or Sensitive Personal Data and will be handled in accordance with this Agreement and Skai Health’s Privacy Policy.


2.1.16 Skai Concierge Coordinator: a representative of Skai Health FZE responsible for assisting Members with onboarding, scheduling, service coordination, and ongoing support related to their membership experience.


2.1.17 Skai Health Group: Collectively refers to Skai Health FZE and Skai Health Dubai LLC, including any affiliates or authorised agents involved in service delivery or administration.


2.1.18 Skai Health FZE: the entity that administers the membership programme, billing and subscription management, Member communications, and coordination of Primary Care Support services.


2.1.19 Skai Health Dubai LLC: a DHA-licensed healthcare provider.

2.1.20 Telemedicine: remote consultations conducted digitally in line with UAE healthcare regulations.


2.1.21 Third-Party Providers: means:


i. external healthcare professionals, diagnostic laboratories, and licensed clinical service providers to whom Members may be referred for medical evaluation, treatment, or related services; and


ii. third-party wellness platforms, digital tools, connected health technologies, billing processors, and health information exchange services that may be integrated into the Member’s primary care support or optimisation journey. This includes wearable device applications (e.g., Apple Health), performance monitoring platforms (e.g., Technogym), image or diagnostics hosting platforms (e.g., PACS or video storage tools), and secure data-sharing services.


The use of such providers or platforms may be subject to separate terms of service and privacy policies.


2.2 Interpretation


2.2.1 Headings and section titles are included for convenience only and shall not affect the interpretation of this Agreement.


2.2.2 Words in the singular include the plural, and vice versa, unless the context otherwise requires.


2.2.3 References to laws and regulations include any amendments, modifications, or replacements thereof.


2.2.4 Any references to timeframes (e.g., “within X days”) refer to calendar days unless explicitly stated otherwise.


3. Acceptance of terms & online agreement


3.1 Clickwrap Agreement & Acceptance


3.1.1 The Member must electronically accept this Agreement by clicking “I Agree” during the online sign-up process. This action constitutes legal acceptance of the terms and conditions under applicable laws governing electronic contracts.


3.1.2 Membership will not be activated unless this Agreement is accepted.


3.1.3 Membership is deemed to commence upon Skai Health’s confirmation of payment and acceptance of the Agreement. Access to services may be subject to the completion of the onboarding process.


3.2 Separate Application & Sign-Up Process


3.2.1 Members must complete an online application form before accessing Skai Health Services.


3.2.2 You will be directed to a secure payment page powered by a third-party authorised payment provider as part of your sign-up process.


3.2.3 The Agreement will remain available for your reference on the Skai Health website.


3.3 Member Onboarding


Once membership has commenced, a Skai Concierge Coordinator will contact you to initiate the onboarding process. This may include an initial call to explain your membership benefits, timelines, and key milestones, followed by:


  1. initial welcome and orientation, including an overview of your selected tier and coordination of your first scheduling call with a Skai Health medical professional;


  2. collection of preventive health history and lifestyle details through a structured intake interview;


  3. coordination and scheduling of initial diagnostic procedures, such as imaging, blood testing, and third-party assessments; and


  4. Development of your preliminary health optimisation plan, including results review and next steps with your Skai Health care team.




4. Membership services


4.1 Scope of Services


4.1.1 Skai Health offers a subscription-based membership providing access to a curated range of preventative primary care and wellness services. These services are designed to complement, not replace, primary care, chronic disease management, or emergency medical services. Services include, but are not limited to:


  1. primary care consultations and physical examinations;


  2. telemedicine and remote care services;


  3. personalised health assessments;


  4. advanced diagnostics for preventive screening and health optimisation;


  5. genomic and biomarker testing (where applicable and as permitted under applicable law);


  6. longitudinal health monitoring and digital device integration;


  7. curated wellness and lifestyle coaching services;


  8. proactive care planning and specialist navigation;


  9. administrative coordination and concierge support;


  10. access to digital wellness platforms, wearable integration, and continuous health insights powered by third-party technologies.


4.1.2 Membership services are administered by Skai Health FZE, which manages your enrolment, communications, and coordination of Services. Clinical and diagnostic services are delivered by Skai Health Dubai LLC or, where appropriate, by authorised Third Party Providers.


4.1.3 The specific services available under your membership will depend on your selected tier, as outlined in Schedule A. Skai Health may expand or modify the Services periodically, provided such modifications do not materially reduce the overall membership value.


4.2 Primary Care Management and Referrals


4.2.1 Skai Health FZE provides primary care coordination services, including:


  1. support with navigating insurance approvals and care pathways;


  2. coordination of preventive healthcare services; and


  3. facilitating referrals to authorised Third-Party Providers, including diagnostics, wellness platforms, or specialist services, as appropriate.


4.2.2 Skai Health is a primary care provider and, as such, does not provide medical interventions or directly manage complex chronic conditions. The Services delivered under this Agreement focus on prevention, health optimisation, and early detection. While Skai Health may assist Members in navigating care pathways, supporting monitoring, or coordinating services for chronic or complex conditions, diagnosis, prescription, and treatment must be undertaken through a licensed specialist or treating physician under a separate clinical arrangement.


4.3 Third-Party Providers


4.3.1 Certain services may be delivered or supported by Third-Party Providers. These may include:


  1. external healthcare professionals, diagnostic laboratories, or clinical service providers to whom Members may be referred for evaluation, testing, or treatment; and


  2. third-party wellness platforms, digital tools, or health data technologies (e.g., Apple Health, Technogym, remote diagnostics, or health information exchanges) which may support health optimisation, lifestyle tracking, or continuity of care.


4.3.2 Skai Health may coordinate services with Third-Party Providers in two primary contexts:


  1. Included services: Certain clinical or diagnostic services (e.g., imaging, lab work, genetic testing) may be included in your selected membership tier but delivered by external Third-Party Providers. Skai Health will facilitate access to these services as part of your membership.


  2. Supplementary services: Where a Member requires clinical services that fall outside the scope of Skai Health’s primary care and optimisation model (e.g., complex specialty care or advanced interventions), Skai Health may assist with referrals or navigation support to external medical providers. These services may incur additional costs unless expressly included in your tier.


4.3.3 Members acknowledge and agree that:


  1. Skai Health acts solely as a referral and coordination facilitator and does not supervise or control Third-Party Providers or digital platforms;


  2. Skai Health Group is not liable for the actions, omissions, or outcomes of any Third-Party Provider; and


  3. Any fees for services not expressly included in your membership tier are payable directly by the Member.


4.4 Emergency Medical Services


Skai Health Group does not offer emergency medical treatment. In the event of a medical emergency, you must contact UAE emergency services (999) or present to the nearest hospital.


4.5 Personalised Care & Monitoring


4.5.1 Members are entitled to a comprehensive suite of diagnostic, therapeutic, and wellness services tailored to their membership tier.


4.5.2 The Skai Health team provides ongoing clinical oversight, concierge access, and personalised support focused on long-term vitality and performance. Your care journey is designed to evolve with your needs and may include:

  1. biomarker tracking and preventative assessments;


  2. personalised health optimisation planning;


  3. referral coordination or escalation based on diagnostic insights; and


  4. adjustments to your care plan over the course of the membership term.

4.6 Telemedicine Services


4.6.1 Members consent to receive healthcare consultations remotely (“Telemedicine”).


4.6.2 Telemedicine services comply with DHA and MOHAP regulations, including those set by the DHA and MOHAP.


4.7 Exclusions


4.7.1 Services not expressly included in your selected membership tier (as outlined in Schedule A) are excluded from this Agreement.


4.7.2 Examples of excluded services include, but are not limited to:


  1. medications and prescriptions


  2. laboratory and imaging services not included in your tier


  3. hospitalisation and surgical procedures;


  4. emergency medical treatment;


  5. services delivered by unauthorised providers;


  6. treatments not arranged or approved through Skai Health;


  7. house calls or in-office consultations beyond the frequency or scope permitted in your selected tier;


  8. excessive or unreasonable utilisation of services that fall outside the intended use of preventive and optimisation-based care.


5. Consent to care


5.1 Acknowledgement


5.1.1 You understand that Skai Health provides personalised and preventive primary care services with a focus on health optimisation, early detection, and longevity. These services are designed to complement, not replace, broader medical care. Skai Health does not provide medical management — including for chronic or complex conditions — nor does it offer emergency treatment. Clinical services are delivered by Skai Health Dubai LLC, a DHA-licensed healthcare provider, under separate patient consent where required. Skai Health FZE administers membership and non-clinical support services.


5.1.2 Skai Health is not a substitute for insurance coverage, hospitalisation, or emergency care. Members are encouraged to seek appropriate medical advice and maintain relationships with primary care or specialist providers for the ongoing medical management of any chronic or complex health conditions.


5.2 Referrals and Recommendations


Skai Health may recommend third-party diagnostics or treatments. Acceptance of such referrals is at your discretion.


5.3 Limitations


5.3.1 Skai Health Group operates through two licensed entities with distinct roles. Clinical services — including diagnostics and consultations — are provided solely by Skai Health Dubai LLC, a DHA-licensed healthcare provider. This entity is responsible for treatment decisions and outcomes within its licensed scope of practice. Before receiving clinical services, you may be asked to sign a separate patient consent or engagement agreement with Skai Health Dubai LLC.


5.3.2 Skai Health FZE manages your membership, administrative support, and coordination services. It does not deliver clinical care and is not responsible for medical outcomes or treatment decisions made by Skai Health Dubai LLC or any Third-Party Provider.


6. Payment terms & auto-renewal


6.1 Fees & Billing


6.1.1 Membership fees are set out in your selected membership tier and will be confirmed during the sign-up process. Fees may vary depending on your chosen tier and payment structure (e.g., monthly, annual, or deposit-based) and will be detailed in the application form or accompanying Schedule. Skai Health reserves the right to introduce or modify available payment options from time to time.


6.1.2 Membership fees are payable in AED via the available payment methods presented at the time of sign-up. These may include credit card via an authorised third-party payment processor, bank transfer, or in-clinic payment. Skai Health may update accepted payment methods from time to time in line with operational or regulatory requirements.


6.1.3 All fees stated are inclusive of VAT (Value Added Tax), which may be applied at the prevailing rate in accordance with UAE tax laws. The VAT amount (if applicable) will be shown at the time of payment and included in your invoice.


6.2 Auto-Renewal & Cancellation


6.2.1 Memberships operate on an annual term and will automatically renew unless cancelled at least 30 days before the end of the current billing cycle.


6.2.2 You may cancel your membership at any time by contacting Skai Health in writing at the contact details provided on our website or, once available, via your account portal. To ensure cancellation is processed before your next renewal, notice must be received at least 30 days before the end of your current billing cycle. Your membership will remain active until the end of your current term. Cancellation will prevent automatic renewal at the next billing cycle. Membership fees are non-refundable unless otherwise stated in a supplementary agreement or required by law.


6.3 Recurring Payment Authorisation


6.3.1 If you opt to pay via a third-party payment processor, you authorise Skai Health to charge your selected payment method for recurring payments in accordance with your membership billing cycle.


6.3.2 Where payments are made via an authorised third-party payment processor, Skai Health does not access or store full card or banking credentials. For payments made via bank transfer or in-clinic, Skai Health may retain payment confirmation details (such as transaction references or receipts) solely for billing and record-keeping purposes


6.3.3 You may update or cancel your billing preferences by contacting Skai Health in writing at the contact details shown on our website or, once available, by accessing your billing portal, where applicable.


6.4 Failed Payments & Suspension


6.4.1 If a payment fails, Skai Health will notify you.


6.4.2 After 15 days of non-payment, membership may be suspended until full payment is received.


6.5 Payment Provider


6.5.1 Skai Health reserves the right to change its authorised payment service provider from time to time, provided that the selected provider complies with applicable data protection and financial security regulations.


6.5.2 Any such change will not affect your membership terms, and you will be notified in the event of a material change to the payment process.


7. Dispute resolution & governing law


7.1 Governing Law


This Agreement and any non-contractual obligations arising from or in connection with it shall be governed by and construed under the laws of the Dubai International Financial Centre (DIFC).


7.2 Jurisdiction and Dispute Process


7.2.1 In the event of a dispute or difference between the Member and Skai Health arising from or related to this Agreement, the parties agree to attempt resolution in the following order:

  1. in the first instance, to the Small Claims Tribunal of the DIFC Courts, where the claim does not exceed AED 500,000 (or equivalent in USD);


  2. where the claim exceeds AED 500,000, or if the matter is not resolved through the Small Claims Tribunal, Skai Health may, at its sole discretion, elect to refer the dispute to either:



    a. the Dubai Arbitration Centre (DIAC), or


    b. the Court of First Instance of the DIFC Courts.



7.2.2 If arbitration is elected, the following provisions shall apply:


  1. the arbitration shall be administered by the DIAC in accordance with the DIAC Arbitration Rules, which are deemed incorporated by reference into this clause;


  2. the seat of arbitration shall be the Dubai International Financial Centre (DIFC);


  3. the language of the arbitration shall be English; and


  4. The number of arbitrators shall be one (1), unless otherwise agreed between the parties.



7.3 Exclusive Jurisdiction for Skai Health's Benefit

For the benefit of Skai Health, the parties irrevocably agree that the DIFC Courts shall have exclusive jurisdiction to determine any dispute, save that Skai Health may also bring proceedings in any other court of competent jurisdiction if it so chooses.


7.4 Interim Relief

Nothing in this clause shall prevent either party from seeking interim or injunctive relief from any court of competent jurisdiction to protect its interests pending final resolution of the dispute.


8. Privacy & data handling


8.1 Compliance with Data Protection Laws


Skai Health complies with applicable Data Protection Laws in the UAE and other relevant jurisdictions. By subscribing to Skai Health services, you acknowledge that your Personal Data and Sensitive Personal Data may be collected, stored, processed, and shared in accordance with this clause and our Privacy Policy.


8.2 Use of Personal Data


8.2.1 We will collect and process Personal Data and Sensitive Personal Data only as necessary to:


  1. deliver the Services included in your membership, including clinical care (where applicable) and primary care coordination or optimisation support;


  2. provide Primary Care Support and Healthcare Optimisation services, including scheduling, coordination, and non-clinical navigation assistance;


  3. refer you to Third-Party Providers upon your request or consent;


  4. comply with regulatory, legal, and operational obligations; and/or


  5. contribute to anonymised data repositories maintained by Skai Health, which may support service improvement, clinical research, and population health analysis across the membership base.



8.3 Third-Party Sharing


8.3.1 Your Sensitive Personal Data may be shared with Third-Party Providers for diagnosis, treatment or continuity of care with your consent or as permitted by law.


8.3.2 Where payment is made via a third-party payment processor, Skai Health does not access or store full payment card or banking details. Where payment is made by bank transfer or in-clinic, Skai Health may retain limited payment confirmation or transaction reference data solely for verification, accounting, and compliance purposes.


8.3.3 We ensure that all Third-Party Providers and processors receiving personal data are contractually required to protect your information in accordance with applicable laws.


8.3.4 Members acknowledge that certain third-party platforms or connected health technologies may be governed by independent privacy policies outside Skai Health’s control.


8.4 Cross-Border Transfers


8.4.1 Member Personal Data and Sensitive Personal Data may be transferred, stored, or accessed outside of the United Arab Emirates, including in jurisdictions where:


  1. Skai Health or its affiliated clinics operate (e.g., the United Kingdom or the United States);


  2. Skai Health’s authorised third-party vendors and technology providers are located — including those supporting diagnostic imaging, genomic testing, and digital health platforms (e.g., Purview, Muhdo).



8.4.2 Skai Health ensures that all cross-border data transfers are conducted in compliance with applicable UAE Data Protection Laws and are subject to appropriate safeguards, which may include contractual protections, reliance on jurisdictions with adequate data protection, and vendor due diligence processes.


8.5 Member Rights


8.5.1 Under the Data Protection Laws, you have the right to:

  1. access your Personal Data held by Skai Health;


  2. request correction of inaccurate or incomplete data;


  3. withdraw consent for processing (where processing is based on consent)


  4. request deletion of your Personal Data, subject to legal or clinical retention obligations


  5. lodge a complaint with the UAE Data Office.

8.6 Data Retention


Skai Health retains your Personal Data and Sensitive Personal Data only for as long as necessary to fulfill our clinical, legal, and regulatory obligations. After the applicable retention period expires, your data will be securely deleted or anonymised.


9. Limitation of liability


9.1 No Warranty


9.1.1 Skai Health FZE and Skai Health Dubai LLC (together, the Skai Health Group) provide Services with due care, skill, and professionalism in accordance with applicable UAE healthcare regulations. However, no express or implied warranties are given regarding the clinical outcomes of care, the success of diagnostics, or the availability of particular services at any given time.


9.1.2 Clinical services are delivered exclusively by Skai Health Dubai LLC, a licensed provider under the Dubai Health Authority.


9.1.3 Skai Health FZE does not provide clinical care. It administers membership subscriptions, facilitates access, and provides Healthcare Management services to support your preventive care journey.


9.2 Third-Party Services


Skai Health may refer you to Third-Party Providers for services such as diagnostics, genomic testing, or specialist consultations. These services are governed by their own terms and providers. For further details regarding the coordination of such services, applicable responsibilities, and liability limitations, please refer to Clauses 4.3 and 5.3.2.


9.3 Indirect and Consequential Losses


9.3.1 To the maximum extent permitted by law, Skai Health shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to:


  1. Loss of income, profits, business opportunity, or goodwill


  2. Loss of data, medical records, or analysis


  3. Psychological distress, inconvenience, or unmet expectations



9.3.2 This limitation applies whether the claim arises in contract, tort (including negligence), statute, or otherwise.


9.4 Cap on Liability


9.4.1 Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited under applicable UAE law, including in relation to personal injury or death arising from clinical negligence.


9.4.2 Subject to the foregoing, Skai Health’s aggregate liability under this Agreement shall be limited to the total amount of membership fees paid by you in the twelve (12) months preceding the event giving rise to the claim.


10. Termination


10.1 Termination by Member


You may terminate your membership at any time by contacting Skai Health in writing or, once available, via your account portal. Your membership will remain active until the end of the current annual term. Cancellation will prevent your membership from renewing, but no refunds will be provided for any unused period unless otherwise specified in this Agreement.


10.2 Termination by Skai Health


10.2.1 Skai Health may terminate your membership:


  1. if you fail to make payment within 15 days of a failed transaction;


  2. if you materially breach the terms of this Agreement;


  3. if you engage in persistent misuse of services, including excessive or unreasonable demands outside the scope of your selected membership tier;


  4. if you engage in abusive, threatening, or inappropriate behaviour toward staff or providers; or


  5. in any other circumstance where continued membership would, in Skai Health’s reasonable opinion, compromise safety, service quality, or operational integrity.



10.3 Termination Process


In cases of termination by Skai Health (other than for non-payment), you will receive a written notice with reasons for the termination and the date it takes effect. You may continue to access services until the end of the current term unless otherwise stated in the notice.


10.4 Refunds Upon Termination


No prorated refunds will be issued except where Skai Health terminates your membership without cause. In such instances, a refund may be provided at Skai Health’s discretion for any unused period.


11. Force Majeure


11.1 Effect of Force Majeure


11.1.1 If a Force Majeure Event occurs, Skai Health shall be relieved from its obligations under this Agreement to the extent that its performance is prevented, hindered, or delayed by the event.


11.1.2 Skai Health will make reasonable efforts to mitigate the impact of the Force Majeure Event and to resume operations as soon as practicable.


11.1.3 Members will be notified as soon as reasonably possible of any service disruptions caused by a Force Majeure Event.


11.2 No Liability


11.2.1 Skai Health shall not be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from a Force Majeure Event.


11.2.2 If a Force Majeure Event continues for a sustained period, Skai Health may terminate or modify the manner or scope of the Services by providing written notice to the Member.


12. General terms


12.1 Entire Agreement


This Agreement (including Schedule A, the Privacy Policy and any other referenced policies or addenda) constitutes the entire agreement between you and Skai Health relating to the provision of membership services. It supersedes any prior discussions, proposals, marketing materials, or agreements relating to the same subject matter.


12.2 Variation


12.2.1 Skai Health may amend this Agreement at any time.


12.2.2 Material changes (such as those affecting membership fees, the scope of Services or your obligations) will be communicated to you via email or platform notification at least 30 days prior to taking effect.


12.2.3 Non-material updates (such as formatting, clarifications or minor policy edits) may be made without prior notice.


12.2.4 Continued use of your membership after changes have taken effect constitutes your acceptance of the revised terms.


12.3 Assignment


You may not assign or transfer this Agreement or your rights or obligations under it without Skai Health’s prior written consent. Skai Health may transfer or assign this Agreement to another entity as part of a corporate restructure or a business acquisition, provided it does not materially affect your rights. In such cases, you will be notified of the assignment in accordance with the notice provisions of this Agreement.


12.4 Waiver


Any failure by Skai Health to enforce a provision of this Agreement does not constitute a waiver of that provision or any other rights Skai Health may have.


12.5 Severability


If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.


12.6 Language


This Agreement is drafted and shall be interpreted in the English language. Any translation provided is for reference only, and in the case of conflict, the English version shall prevail.

Schedule A: Membership Benefits


Your Skai Health membership gives you access to a curated set of health, wellness, and optimisation services. Benefits vary by membership tier. All services are designed to support preventive care, early risk detection, and enhanced healthspan.


Your care team will tailor your plan based on your individual health needs. Not all services may be appropriate or required for every member. Membership fees are not calculated on a cost-per-service basis, and no refund will be offered if all services are not used.

The Family Membership includes:


  • Elevate-tier benefits for two adults, and


  • Essential Concierge access for two children (under the age of 18), including age-appropriate health assessments, diagnostics, and wellness coordination.


Additional services for children may be available on request, subject to clinical suitability and practitioner discretion.



Note on Third-Party Services and Fees: Some services facilitated by Skai Health through Third-Party Providers (e.g., diagnostic tests, body composition analysis, or wellness services) may be included in your membership tier at no additional cost or offered at pre-negotiated rates. Where this applies, it will be expressly indicated in your tier’s inclusions. For all other services, Members remain responsible for any fees charged by external providers.


Note on the appropriateness of some services: Some services are subject to clinical appropriateness, medical necessity, or scheduling availability. Skai Health will work with you to personalise your care journey based on your health goals and membership tier.


Note on Pricing: All membership fees are inclusive of VAT. Where applicable, VAT will be charged per UAE tax laws.
